By submitting an idea, suggestion, concept, feedback, drawing, description, or other material (collectively, a “Submission”), you acknowledge and agree to the following:

Voluntary and non-confidential

Your Submission is voluntary and will not be treated as confidential or proprietary. Please do not submit trade secrets or other information that you are required to keep confidential.

No obligation to use or respond

Praetorian Development Group LLC, Praetorian Fund LLC, and their respective affiliates (collectively, “Praetorian”) may review your Submission but have no obligation to evaluate, use, adopt, implement, publish, or respond to it. Praetorian is not required to provide compensation, reimbursement, attribution, or any other consideration in connection with a Submission.

Independent and similar development

Praetorian may already be considering or developing, or may later consider, develop, acquire, approve, or pursue, projects, concepts, features, uses, designs, or materials that are identical or similar to all or part of your Submission. Your Submission will not restrict those activities or give rise to any claim merely because a Praetorian project contains elements that are identical or similar to elements of your Submission.

Permission to use the Submission

You retain any ownership rights you may have in your Submission. By submitting it, however, you grant Praetorian a perpetual, irrevocable, worldwide, nonexclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, adapt, combine with other materials, publish, distribute, display, create derivative works from, and otherwise use the Submission for any lawful business, planning, development, community-engagement, or promotional purpose.

No relationship or commitment

A Submission does not create a contract, partnership, joint venture, agency, fiduciary, advisory, employment, or other relationship between you and Praetorian. It does not constitute a promise or commitment concerning the development of Praetorian Park or any other project.

Authority to submit

You represent that you have the right to provide the Submission and that Praetorian’s permitted use of it will not violate another person’s intellectual-property, privacy, contractual, or other rights.
